1. About these terms
These terms are between you and Agentic Sciences Ltd (trading as Googly). By subscribing to or using Googly, you agree to these terms. You must be legally able to enter into a contract and, if you act for a business, have authority to bind it.
Googly is a trading name of Agentic Sciences Ltd, a company registered in England and Wales, company number 17050126. Registered office: Mansty Farm, Mansty, Stafford, ST19 5SA.

2. The service
Googly is an automated Google Ads optimisation service. When you connect an account, Googly automatically makes optimisation changes within the goals and monthly advertising budget limit you save. We email you about each change and include an Undo option. You can disconnect your Google Ads account at any time by revoking Googly’s access through your Google Account settings. You remain responsible for the accuracy of your saved goals and budget and for your advertising account.
We do not promise particular advertising, traffic, lead, revenue or other results. Results depend on factors outside our control, including your market, website, budget and Google's systems and policies.
3. Subscription and payment
The fixed monthly rates are £79 in GBP and $99 in USD. UK visitors default to GBP and visitors elsewhere default to USD; you can choose either currency before checkout. The subscription is billed through Stripe and renewed monthly until cancelled. Google Ads spend is separate: you pay it directly to Google, and it is not included in the Googly subscription.
You may cancel at any time through the Stripe customer portal. Cancellation stops future renewals and normally takes effect at the end of the current paid period. Except where the law requires otherwise, we do not provide refunds or credits for partial months.
4. Your account and Google Ads access
You retain ownership and control of your Google Ads account and the information in it. You may revoke Googly's access at any time through your Google Account settings. You are responsible for keeping your account details accurate and for maintaining the security of your own Google account.

5. Acceptable use
You must use Googly lawfully and only for accounts and data you are authorized to manage. You must not use the service to break the law, infringe another person's rights, mislead or harm others, interfere with the service, bypass security controls, or attempt to access systems or data without permission.
6. Ownership and service availability
You keep your rights in your business materials, Google Ads account and campaign data. Googly and its licensors keep their rights in the Googly service, software, branding and design. You grant Googly permission to use the materials and account information you provide only as needed to deliver the service.
We work to keep Googly available, but do not promise uninterrupted service. Google, Stripe and other third-party services operate under their own terms and may change or become unavailable.
7. Cancellation and suspension
You can cancel as described in Section 3. We may suspend or end access if it is reasonably necessary to protect the service, comply with law or address a serious breach of these terms. You may also revoke Google access independently through Google.
8. Liability
Nothing in these terms limits liability that cannot legally be limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, loss of profits, or loss of opportunity arising from use of the service.
Subject to the paragraph above and applicable law, Googly's total aggregate liability arising from the service is limited to the subscription fees you paid or owed to Googly in the 12 months before the event giving rise to the claim. This does not limit rights that cannot be excluded by law.
9. Changes to these terms
We may update these terms to reflect changes to the service or legal requirements. We will post the revised terms and update the date above. If a change materially affects your subscription, we will take reasonable steps to notify you before it takes effect.
10. Governing law
These terms are governed by English law, meaning the law of England and Wales. The courts of England and Wales will have jurisdiction, subject to any mandatory rights you have under applicable law.
